Anti-corruption policy
 

Purpose:

Strenometer ApS confirms the company's commitment to conducting business in an ethical and responsible manner and in full compliance with applicable laws. This policy was developed to ensure that the company and its employees are committed to fighting corruption in all its forms and to following the latest laws and standards.
 

Definition of corruption:

Corruption is defined as the misuse of entrusted public or private power for private gain. Corruption includes bribery, embezzlement, fraud, extortion, nepotism and favouritism, facilitation payments (kickbacks), and other similar actions.
 

Compliance with laws and regulations:

Strenometer ApS agrees to comply with all applicable laws and regulations in the countries in which we operate. This includes national and international laws designed to fight corruption, such as the United Nations Convention against Corruption and local anti-corruption laws.
 

Prohibition of bribery:

We do not offer or accept bribes in any form. It is strictly against Company policy for employees to offer, give, or authorise bribes of any kind to obtain or retain business advantages. This applies to public officials as well as private customers, suppliers, and any other business relationship.
 

Third-party transactions:

We are committed to conducting our business activities with trusted third-party partners who share our values and commitment to ethical business practice. Prior to contracting with a third party, we shall conduct due diligence to reduce the risk of engaging with individuals or organizations in illegal activities.
 

Whistleblower protection:

Strenometer ApS encourages all employees to report any suspected violations of this anti-corruption policy. We ensure that all reports are treated confidentially and without fear of reprisals. A reporting mechanism, such as an anonymous whistleblowing hotline, will be available to employees who wish to report concerning behaviour.
 

Consequences of violation:

The manager does an annual course in anti-corruption. All employees are kept continuously informed about precautions against corruption, and the bookkeeping department checks that money used for corruption is not reimbursed in any way.

Any employee found to be in violation of this policy will be subject to disciplinary action, including possible termination of employment. If an employee participates in corruption, it may also lead to legal consequences for both the employee and Strenometer ApS.
 

Education and awareness:

We ensure that all employees are familiar with this anti-corruption policy and comprehend its importance. All new employees will receive training in the company's ethical guidelines, and regular updates and reminders will be given to existing employees.
 

Revision of policy:

Compliance with laws

Policy for compliance with laws, including the tax law.
 

Purpose:

We are committed to complying with all applicable laws and regulations, including the tax law, to maintain a high standard of ethical conduct and legal compliance in all our business activities. This policy sets out the guidelines ensuring full compliance with the legislation, including the tax law.


Tax compliance

1. Registration and reporting:
We will at all times ensure that we are timely registered as a taxpayer with the relevant tax authorities and that we meet all requirements for reporting taxes and duties.

2. Tax payments:
We will meet our obligations for timely and correct payment of taxes and charges in accordance with applicable tax legislation.

3. Tax planning:
We will comply with both the letter and intent of the tax legislation, and we will not engage in tax evasion or tax avoidance. Tax planning will be conducted in accordance with the law and with regard for ethical standards.

4. Transparency and documentation:
We will keep an accurate and comprehensive record of all our tax obligations and transactions to guarantee transparency and to provide relevant documents to the tax authorities if required.

Management will be responsible for monitoring and evaluating compliance with legislation and will, if need be, make necessary adjustments and improvements in business processes.

All employees have a duty to report all violations and/or suspected violation of the law, including the tax law, to their immediate supervisor or to the top management.

Employees who report violations in good faith will face no negative consequences. On the contrary, we will value their honesty and integrity.

Conflict minerals

Purpose:

Strenometer ApS is committed to ensuring that our supply chain is free of conflict minerals that finance armed conflicts and human rights abuses. This policy defines our supply chain guidelines guaranteeing that we only engage with suppliers who meet our standards for conflict-free minerals.

By implementing this Conflict Minerals Policy, Strenometer reaffirms its commitment to support responsible supply chain practices and to help prevent the exploitation of natural resources to finance conflict and human rights abuses.
 

Definition of conflict minerals:

Conflict minerals are minerals mined in conflict-affected areas and used to influence and finance armed conflicts, human rights violations, or damage to the environment.
 

Scope:

This policy applies to all our suppliers and sub-suppliers of metals and minerals.
 

Guidelines:

Supplier assessment: We will evaluate our suppliers to ensure they comply with this policy. Suppliers must prove that they do not use conflict minerals.

Ban on conflict minerals: We ban the use of conflict minerals in our products. We do not permit our suppliers to supply materials that contain minerals such as tin, tantalum, wolfram, and gold mined in conflict areas.

Due diligence: We will perform thorough due diligence to ensure that our supply chain is free of conflict minerals. This is done through confirmation or by following the supplier's own guidelines.

Supplier requirements: We require our suppliers to implement the policies to ensure that they also not use conflict minerals in their products or supply chain.

Education and awareness: We ensure that all employees and suppliers are familiar with this policy and comprehend its importance.

Continuous improvement: We strive to continually improve our conflict minerals policy and our approach to managing the metals and minerals supply chain. 
 

Compliance with the policy:

Violation of this policy may result in result in termination of employment with the supplier unless appropriate plans for improvement are in place and implemented.
 

Adoption:

This conflict minerals policy has been adopted by the management or the board of directors and will come into force on 14.08.2023.

Regardless of the term used, it revolves around companies taking responsibility for their social and environmental impact. The Global Compact is a voluntary UN initiative that calls on companies and organizations to commit to ten universal principles related to human rights, labour, the environment, and anti-corruption. These principles serve as a guide for companies to integrate responsibility and sustainability into their business strategy and daily activities. The Global Compact principles have been added to this CSR policy:

We will respect and support the protection of human rights as proclaimed in the UN Universal Declaration of Human Rights. We will not participate in or contribute to violations of human rights, either directly or indirectly.

We will respect the international labour standards as defined by the International Labor Organization (ILO) e.g., by banning forced labour and child labour as well as protecting workers' right to organize and bargain collectively.
 

5. Environmental sustainability
